Welcome to InProSys. These Terms of Service (“Terms”) govern your access to and use of the InProSys website, software products, digital services, applications, and related technology solutions.

About InProSys

InProSys is a software and technology solutions company providing custom software development, web and mobile application development, enterprise solutions, SaaS development, cloud services, AI and automation, API integration, UI/UX design, software testing, IT consulting, maintenance, and other technology-related services. Specific services may be subject to additional proposals, quotations, statements of work, subscription agreements, or service contracts. Where such an agreement exists, its terms will apply to the relevant service.

Use of Our Website

You may use the InProSys website only for lawful and legitimate purposes. You agree not to misuse the website, attempt to gain unauthorized access to our systems, introduce viruses or malicious code, interfere with website functionality or security, copy or reproduce our content without permission, or use our services for fraudulent, unlawful, or unauthorized activities. InProSys reserves the right to restrict or terminate access where we reasonably believe these Terms have been violated.

Our Services

InProSys provides technology services according to the scope, specifications, deliverables, and requirements agreed with each customer. Our services may include custom software development, web and mobile applications, enterprise software, SaaS platforms, cloud solutions, AI and automation, system integration, cybersecurity, UI/UX design, quality assurance, technical consulting, software maintenance, and support. The exact scope, timeline, deliverables, and responsibilities for a particular project will be defined in the applicable quotation, proposal, contract, or statement of work.

Project Requirements & Customer Responsibilities

Customers are responsible for providing accurate, complete, and timely information required for the successful delivery of a project. This may include business requirements, content, documentation, branding materials, technical information, access credentials, API details, approvals, and feedback. Any delay resulting from incomplete information, delayed approvals, unavailable resources, or failure to meet agreed responsibilities may affect the project timeline, cost, or delivery schedule.

Changes to Project Scope

Any requirement or work that falls outside the originally agreed project scope may be considered additional work. This may include new features, additional integrations, significant design changes, additional platforms, new reports or modules, or substantial revisions to approved requirements. Additional work may require a revised quotation, additional fees, and an adjusted delivery timeline. InProSys may begin such work only after receiving appropriate customer approval.

Fees & Payments

All applicable fees, payment schedules, taxes, and other charges will be specified in the relevant quotation, invoice, subscription plan, or agreement. Customers are responsible for making payments according to the agreed schedule. Development or service delivery may begin after the required initial payment has been received. In case of overdue payments, InProSys may suspend services until outstanding amounts are settled. Third-party service costs, infrastructure expenses, licenses, payment gateway charges, or other external costs may be charged separately where applicable.

Software Licensing

Unless expressly stated otherwise in writing, software, applications, source code, frameworks, libraries, templates, documentation, and other digital products provided by InProSys are subject to applicable licensing terms. Customers receive only the rights specifically granted under the relevant agreement or license. Without written authorization, customers may not resell, redistribute, sublicense, reproduce, commercially exploit, or otherwise misuse InProSys-owned software, technology, or protected components.

Intellectual Property

InProSys retains ownership of its pre-existing intellectual property, including software frameworks, libraries, development tools, reusable components, templates, algorithms, methodologies, technical processes, know-how, and proprietary technology. Customer-provided content, trademarks, data, and other materials remain the property of the customer or their respective owners. Ownership of specifically commissioned custom software or deliverables will be determined by the applicable project agreement, quotation, or contract.

Third-Party Services & Integrations

InProSys software and services may depend on or integrate with third-party applications, APIs, cloud platforms, payment gateways, hosting providers, app stores, and other external technologies. While we make reasonable efforts to maintain reliable integrations, InProSys cannot control changes, interruptions, pricing, limitations, security incidents, policies, or discontinuation of third-party services. Customers may be required to maintain their own accounts, licenses, subscriptions, and authorizations for third-party services used within their projects.

Software Availability & Maintenance

InProSys aims to provide reliable, secure, and accessible software and technology services. However, uninterrupted availability cannot always be guaranteed. Services may occasionally be unavailable because of scheduled maintenance, security updates, infrastructure problems, network failures, third-party service interruptions, emergency maintenance, or circumstances beyond our reasonable control. Where a specific uptime or service-level commitment applies, the relevant SLA or service agreement will govern such commitments.

Data & Privacy

InProSys may collect and process information necessary to operate our website, communicate with customers, and provide our products and services. The collection, use, storage, and protection of personal information are described in our Privacy Policy. Customers are responsible for ensuring that any personal data, business data, documents, or other information provided to InProSys has been collected and shared lawfully and that they have the necessary rights and permissions to provide such information.

Security

InProSys takes reasonable technical and organizational measures to protect its systems, applications, and customer information from unauthorized access, misuse, or disclosure. However, no internet-connected system can be guaranteed to be completely secure. Customers are responsible for protecting their passwords, account credentials, API keys, access tokens, and other confidential authentication information and should immediately notify InProSys if they suspect unauthorized access or a security incident.

Confidentiality

During a business relationship, InProSys and its customers may exchange confidential business, technical, financial, operational, or other sensitive information. Each party agrees to take reasonable measures to protect confidential information and use it only for legitimate purposes related to the relevant business relationship. Confidentiality obligations may be further defined in a separate Non-Disclosure Agreement or service contract where required.

Warranty & Disclaimer

InProSys will make reasonable efforts to deliver services professionally and according to the agreed specifications. However, unless expressly stated otherwise in a written agreement, our website and services are provided on an “as available” and “as is” basis to the maximum extent permitted by applicable law. We do not guarantee that software will always be completely free from defects, that every service will remain uninterrupted, or that third-party platforms, operating systems, browsers, devices, or technologies will remain compatible indefinitely.

Limitation of Liability

To the maximum extent permitted by applicable law, InProSys shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, data, goodwill, or business interruption arising from the use of our website, software, or services. Where liability cannot legally be excluded, InProSys's total liability shall generally be limited to the amount paid by the customer for the specific service giving rise to the claim, unless otherwise agreed in writing or required by applicable law.

Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless InProSys, its directors, employees, representatives, contractors, and service providers from claims, damages, liabilities, losses, costs, or expenses arising from your unlawful use of our services, violation of these Terms, infringement of third-party rights, misuse of our software or systems, or any content or data provided by you that violates applicable laws or third-party rights.

Suspension & Termination

InProSys may suspend or terminate access to a service where reasonably necessary, including where a customer fails to meet payment obligations, materially breaches these Terms, uses our services for unlawful purposes, creates security or operational risks, or where continued service would violate applicable laws. Termination does not remove any outstanding payment obligations or provisions that are intended to remain effective after termination.

Refund Policy

Refund eligibility depends on the nature of the product or service purchased and the applicable agreement. Because custom software development and other technology services may involve dedicated resources, completed work, third-party expenses, infrastructure costs, or digital delivery, payments may be non-refundable once work or service delivery has commenced unless otherwise agreed in writing or required by applicable law. Any approved refund will be processed according to the applicable agreement and payment method.

Third-Party Websites

Our website may contain links to third-party websites, applications, or services for convenience and informational purposes. InProSys does not control and is not responsible for the content, availability, security, privacy practices, or terms of third-party websites. Your use of any third-party service is subject to the terms and policies established by that third party.

Changes to These Terms

InProSys may update these Terms & Conditions from time to time to reflect changes in our services, technology, business practices, or applicable legal requirements. Updated Terms will be published on this page with a revised “Last Updated” date. Where permitted by applicable law, continued use of our website or services after the updated Terms become effective may constitute acceptance of the revised Terms.
